These Terms and Conditions ("Terms") govern your access to and use of ZeroCorp.ai (the "Service") provided by ZeroCorp ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

You must be at least 16 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account, including actions taken by AI employees (bots) you configure or grant access to. Notify us promptly at the contact email below if you suspect unauthorized access.

ZeroCorp.ai is a multi-company workspace that lets you hire and manage AI employees, communicate in channels and messenger, connect third-party apps (connectors), run missions, review approvals, use canvas boards and related productivity tools, and meter AI usage via credits.

Features available to you depend on your plan, credit balance, and the permissions and connectors you configure.

The Service includes AI assistants and AI employees (including "Zero" and bots you hire) that generate automated responses and may perform actions based on your instructions, permissions, connectors, and configured rules.

AI outputs and actions are provided for general informational and operational purposes only. They may be inaccurate, incomplete, outdated, or inappropriate. AI is not a substitute for professional advice (including legal, financial, tax, medical, or other specialized advice).

You are solely responsible for reviewing, verifying, and approving AI-generated content and actions—especially those that affect connected third-party accounts, send communications, spend advertising budget, modify calendars or files, or take other external actions—before relying on them. We do not guarantee the accuracy, reliability, or suitability of AI outputs or agent actions.

By using AI features, you acknowledge that relevant data may be processed by third-party AI providers and that you will not submit information you are not authorized to share.

You may connect third-party services (for example Google, Meta, email providers, and others) via OAuth or credentials you supply. You authorize us to access and use those services only as needed to operate the features you enable and the permissions you grant to AI employees.

Your use of third-party services remains subject to those providers' terms and policies. You are responsible for complying with them and for any actions taken on your connected accounts through the Service, including actions initiated by AI employees that you approved or that your settings allow without further approval.

We may suspend or revoke a connector if credentials expire, access is revoked, or continued use would violate law or these Terms.

The Service may require human approval before certain agent actions proceed. You are responsible for configuring approvals appropriately and for decisions you make in the Approval Inbox. Missions and automated workflows run under the rules and grants you set; you remain accountable for their outcomes.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that defects will be corrected, or that AI employees will always behave as intended.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE (INCLUDING AI EMPLOYEE ACTIONS AND CONNECTOR USAGE).

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

Paid plans are billed through our payment provider (Stripe). Fees, billing cycles, features, and monthly AI credit allowances are described on the pricing page or in your account settings. Taxes may apply.

AI usage may consume credits according to our credit formula. Free and paid allowances reset according to the rules of your plan. Credits have no cash value and are non-transferable except as required by law.

You may cancel a paid subscription according to the options in your account. Unless otherwise stated, cancellation takes effect at the end of the current billing period. We do not provide refunds except where required by law.

You agree not to:

• Use the Service unlawfully or to violate the rights of others.
• Use AI employees or connectors to spam, harass, defraud, or deceive others, or to violate advertising, privacy, or platform policies of third parties.
• Upload malware, attempt unauthorized access, or interfere with the Service.
• Reverse engineer or scrape the Service except as permitted by law.
• Misrepresent your identity or affiliation.
• Circumvent approvals, credit metering, or access controls.

You retain ownership of content you submit to the Service (including company data, messages, documents, and configurations). You grant us a worldwide, non-exclusive license to host, store, reproduce, and process your content solely to operate, improve, and secure the Service and as otherwise described in our Privacy Policy.

You represent that you have all rights necessary to submit your content and that it does not infringe third-party rights.

We and our licensors own the Service, including software, branding, and documentation, except for your content. No rights are granted except as expressly stated in these Terms.

We may suspend or terminate your access if you violate these Terms, pose a security risk, or as required by law. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

You agree to indemnify and hold harmless us and our affiliates, officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your connectors, AI employee actions under your control, or your violation of these Terms or applicable law.

We may modify or discontinue the Service or update these Terms at any time. Material changes will be posted with an updated date. Continued use after changes constitutes acceptance.

These Terms are governed by the laws applicable in your jurisdiction, without regard to conflict-of-law principles, except where mandatory local law applies.

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally. If a dispute cannot be resolved informally, it shall be brought in the courts of competent jurisdiction in the governing jurisdiction above, unless applicable law requires otherwise.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
